ProtoPie AI Terms

1. Access; Eligibility

1.1. Eligibility. ProtoPie AI is provided as an extension of ProtoPie Studio and refers to a set of features in ProtoPie Studio that rely on artificial intelligence, including AI-assisted interaction creation and AI-powered document Q&A functionalities. You may use ProtoPie AI only if you have a valid, current account for the Services and are, and remain, in compliance with the Agreement and these AI Terms.

1.2. Beta Version. ProtoPie AI may be provided as a beta version ("Beta AI Features"). Beta AI Features are made available for limited testing, may be modified, suspended, or discontinued at any time, and may be subject to additional limitations. You acknowledge that Beta AI Features may be less reliable than generally available features and agree to provide feedback as reasonably requested by ProtoPie, and ProtoPie may use such feedback without restriction or obligation to you.

1.3. Third-Party AI Providers. ProtoPie AI may be powered by one or more third-party artificial intelligence models, infrastructure, or services ("AI Providers"). ProtoPie may replace, add, or change AI Providers from time to time in its discretion, provided that ProtoPie will exercise reasonable care in selecting and overseeing AI Providers in light of the nature of the services they provide and the sensitivity of Your Content (as defined below). By using ProtoPie AI, you authorize ProtoPie to transmit, process, and otherwise make available Your Content to AI Providers solely as necessary to provide, operate, secure, maintain, and support ProtoPie AI. ProtoPie will engage AI Providers under agreements that include obligations regarding the protection, confidentiality, and permitted use of Your Content that are appropriate and commercially reasonable. ProtoPie AI is only available in regions supported by AI Providers' deployment policies.

2. Your Content; Inputs; Outputs

2.1. Definitions. The following terms have the meanings set forth below:

2.1.1. "Inputs" means the inputs, prompts, instructions, text, interaction formulas and scripts, and other material you submit or make available to ProtoPie AI.

2.1.2. "Outputs" means the content, interaction formulas and scripts, suggestions, or other results generated by or through ProtoPie AI in response to your Inputs.

2.1.3. "Inputs" and "Outputs" together are referred to as "Your Content".

2.2. Ownership

2.2.1. As between you and ProtoPie, and to the extent permitted by applicable law, ProtoPie agrees that you (a) retain all rights in and to your Inputs, and (b) you own the Outputs. Subject to your compliance with the Agreement and these AI Terms, ProtoPie hereby assigns to you its right, title, and interest it may have in and to the Outputs. ProtoPie disclaims any rights it receives to your Inputs under these AI Terms.

2.2.2. All documentation and other materials made available by or through ProtoPie AI, other than Your Content, are and will remain the property of ProtoPie and its licensors. You may not copy, distribute, or otherwise redistribute those materials except as expressly permitted in the Agreement, these AI Terms, or in a separate written agreement signed by a duly authorized representative of ProtoPie.

2.3. License. You grant ProtoPie a worldwide, non-exclusive, royalty-free license to use, reproduce, host, store, process, transmit, display, and perform Your Content solely to provide, maintain, secure, and improve ProtoPie AI; to comply with applicable laws; and to prevent fraud, abuse, or security incidents.

2.4. Model Training. ProtoPie AI uses Anthropic's Claude models. Anthropic does not use customer data submitted through ProtoPie's use of Anthropic APIs to train their AI models. Accordingly, Your Content will not be used to train, improve, or develop ProtoPie's or Anthropic's AI models. ProtoPie may use aggregated and de-identified data derived from Your Content to improve the Services and ProtoPie AI, provided that such data does not identify you or any individual.

2.5. Responsibility for Your Inputs. You are solely responsible for the accuracy, quality, legality, and rights to use your Inputs, including obtaining all necessary consents, notices, and permissions. You acknowledge that providing sensitive, personal, or otherwise regulated data to ProtoPie AI may create additional obligations for you under applicable laws, and you are responsible for complying with those obligations. ProtoPie does not recommend or encourage you to submit such data as Inputs unless you have implemented appropriate safeguards and such submission is expressly permitted under applicable laws and the Agreement.

3. User Responsibilities

3.1. Appropriate Use. You will (a) use ProtoPie AI only in accordance with the Agreement, these AI Terms, and all applicable laws and regulations; (b) implement appropriate human review of Outputs before relying on or acting upon them; and (c) maintain and enforce appropriate administrative, technical, and physical safeguards and access controls to prevent unauthorized access to ProtoPie AI and to protect Your Content.

3.2. Prohibited Conduct. You will not (and will not permit others to):

4. Intellectual Property; License Restrictions

4.1. Reservation of Rights. ProtoPie and its licensors retain all rights, title, and interest in and to the Services, the underlying Software, embedded features including ProtoPie AI, documentation and any other materials, technology, and content that existed prior to your use of ProtoPie AI, or are generated or provided by or on behalf of ProtoPie without reliance on your Inputs. For clarity, any base Intellectual Property Rights ("Base IPR") owned by ProtoPie that are included in the Outputs remain vested in ProtoPie. Except for the limited rights granted to you in the Agreement and these AI Terms, no additional rights are granted to you, whether by implication, estoppel, or otherwise.

4.2. Output Similarity. You acknowledge that Outputs may be similar to, or the same as, outputs generated for others due to common inputs or model behavior. You will not assert a claim against ProtoPie or its customers based solely on similarity of the Outputs, provided no misappropriation of your Inputs has occurred.

4.3. Restrictions. Except as permitted by applicable law or expressly authorized in the Agreement or these AI Terms, you will not and will not permit others to (a) copy, modify, translate, create derivative works from, or distribute ProtoPie AI or any part of it; (b) disassemble, decompile, reverse engineer, or otherwise attempt to derive or access the source code or underlying components of ProtoPie AI; (c) remove or alter any proprietary notices, labels, or marks on or in ProtoPie AI; or (d) use ProtoPie AI in any manner that infringes, misappropriates, or otherwise violates any intellectual property or proprietary right.

5. Privacy; Data Security

5.1. Privacy. Where ProtoPie uses AI Providers to process personal data as part of ProtoPie AI, such processing will be subject to (a) ProtoPie's Privacy Policy and (b) any applicable data protection terms between ProtoPie and the relevant AI Providers. You are responsible for providing required notices and obtaining consents from individuals whose personal data is included in Your Content.

5.2. Security. Where ProtoPie engages AI Providers, ProtoPie will use commercially reasonable efforts to have in place administrative, technical, and physical safeguards designed to protect Your Content processed on behalf of ProtoPie.

5.3. Data Location and Cross-Border Transfer. ProtoPie and its AI Providers may process Your Content in locations where they or their subprocessors operate. You authorize ProtoPie and its AI Providers to transfer and process Your Content across borders as necessary to provide ProtoPie AI, subject to appropriate safeguards where required by law.

*We reserve the right, at our sole discretion and without prior notice unless required by applicable law, to change, replace, add, or discontinue any AI Providers or related services we use. We may do so at any time to ensure continuity, security, compliance, performance, or for any other operational or commercial reason. Any such change will not diminish our contractual obligations to you, which will continue to be performed using suitable alternative solutions.

**We will retain your personal information for a maximum of 90 days from the earlier of the date on which we receive your Inputs or the date on which Outputs are generated using those Inputs. This retention period is intentionally longer than the AI Provider's retention period to enable us to improve service quality, investigate and remediate incidents, and comply with applicable legal and regulatory requirements.

6. Limitations

6.1. Administrative Controls. For Enterprise users, administrators may enable or disable ProtoPie AI at the organization level. Individual users within an Enterprise workspace cannot enable or disable ProtoPie AI for their own accounts through personal settings.

6.2. Unsupported Features. The following features are not supported and are not available under the current offering.

6.2.1. Custom model endpoints

6.2.2. Data residency selections (all data is processed through Anthropic PBC in the United States)

6.2.3. On-premise deployment of AI models

6.2.4. Region-specific data storage options for compliance requirements

7. Service Levels; Monitoring; Suspension

7.1. Service Levels. Service availability depends in part on the infrastructure and services of the AI Providers. ProtoPie does not guarantee that ProtoPie AI will be available at all times or free from errors. If an error occurs during AI-assisted editing, ProtoPie may restore the most recent previously saved state to protect Your Content.

7.2. Monitoring. ProtoPie may monitor use of ProtoPie AI for purposes of compliance, security, support, and improving the quality and safety of ProtoPie AI. ProtoPie may review Inputs or Outputs where necessary to investigate suspected abuse, respond to support requests, or to comply with applicable laws.

7.3. Suspension. ProtoPie may suspend or restrict access to ProtoPie AI if (a) necessary to address a security risk, legal requirement, or system integrity issue; (b) your use violates these AI Terms or the Agreement; or (c) any applicable Fees are overdue. ProtoPie will use commercially reasonable efforts to provide you with prior notice of any suspension where practicable under the circumstances.

8. Credits

8.1. Default Credits. Default credits are included with paid subscription plans. Unused credits do not roll over and expire at the end of each billing cycle. During the beta period, ProtoPie AI is available at no extra cost to eligible users.

8.2. Availability. ProtoPie AI is available only to users on paid subscription plans. The following plans do not include access to ProtoPie AI:

8.3. Credit Sharing

8.3.1. Basic and Pro (Plus) Plans. Credits are pooled and shared at the team level. All team members with Editor permissions share the same credit pool.

8.3.2. Enterprise Plan. Credits are pooled and shared at the organization level. All users within an organization share the same credit pool.

8.4. Credit Reset. Default credits reset based on each user's individual subscription renewal date (billing date), not on a fixed calendar date. For annual subscription customers, credits reset monthly on the anniversary of the original billing date. If the anniversary date does not exist in a given month, credits will reset on the last day of that month.

8.5. Beta Period. Beta AI Features are estimated to run from February 9, 2026 through April 30, 2026, though this may change. Credit allocations and policies may be adjusted upon official launch.

9. Warranties

9.1. Your Warranties. You represent and warrant that you have all rights necessary to submit and use your Inputs with ProtoPie AI and that use of your Inputs will not violate any applicable laws or third-party rights.

9.2. ProtoPie Warranties. To the maximum extent permitted by law, ProtoPie AI, Outputs, and related materials and documentation are provided "as is" and "as available," with all faults. ProtoPie and its licensors make no warranties, whether express, implied, statutory, or otherwise, including warranties of validity, accuracy, reliability, quality, stability, merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. ProtoPie does not warrant that Outputs will be unique or correct, or that safety filters will prevent all harmful content. It is your sole discretion to determine your use of the Outputs and ProtoPie expressly disclaims any and all liabilities caused by your such use.

10. Term; Termination

10.1. Term. These AI Terms are effective as of the date you first enable ProtoPie AI in the Settings and will continue in effect for so long as you use ProtoPie AI, unless earlier terminated in accordance with the Agreement or these AI Terms.

10.2. Termination. You may disable ProtoPie AI in the Settings at any time. If you later resume use of ProtoPie AI by enabling it in the Settings, you agree to be bound by these AI Terms again as of the time you re-enable ProtoPie AI. ProtoPie reserves the right to suspend, terminate, or modify ProtoPie AI, in whole or in part, at any time in accordance with the Agreement and these AI Terms.

11. Feedback

If you provide feedback regarding ProtoPie AI, you grant ProtoPie a perpetual, irrevocable, worldwide, sub-licensable, royalty-free license to use, reproduce, modify, and exploit the feedback without restriction or obligation to you.

12. Changes to AI Terms

ProtoPie may update these AI Terms from time to time. It is your responsibility to review these AI Terms regularly for any changes. Where ProtoPie makes changes that it reasonably considers to be material, ProtoPie will provide notice by email or by in-Service notification. Unless otherwise stated in the notice, changes will take effect as of the Last Updated date ("Effective Date") indicated in the updated AI Terms. Your continued access to or use of ProtoPie AI after the Effective Date will constitute your acceptance of the updated AI Terms. If you do not agree to the updated AI Terms, you must stop using ProtoPie AI before the Effective Date.

13. Notice to Residents of Mainland China

13.1. This Section will take precedence for users residing in the People's Republic of China ("PRC" or "China") if there is any conflict with other provisions in these AI Terms. ProtoPie AI will determine residency based on the geolocation of your IP address.

13.2. ProtoPie AI in China only provides the document Q&A feature, with the interaction generation feature not included in its offerings.

13.3. ProtoPie AI in China is provided through Alibaba Cloud Model Studio. It operates through Alibaba Cloud's infrastructure, with endpoints and data storage located in the China region (Beijing). Inference computing resources are confined to mainland China. Data residency for users in China is ensured through Alibaba Cloud's Beijing region infrastructure, separate from the default Anthropic processing in the United States. Your Content is processed within mainland China infrastructure, and cross-border data transfer restrictions may apply pursuant to PRC laws and regulations.

13.4. Alibaba Cloud will not use Your Content to develop or improve its AI models, unless you separately provide your consent.

13.5. Alibaba Cloud automatically monitors the Outputs for risks related to ethics, values, and legal factors, assessing them at multiple risk levels. ProtoPie may implement additional content moderation measures as required by PRC laws and regulations.

13.6. ProtoPie AI does not store any of Your Content that is collected, generated, and processed in China. When you call a model through APIs, your conversation data is not stored. User prompts and responses are not retained and are deleted immediately after each API call. All data transmitted during API calls is encrypted to ensure security. Data isolation measures are implemented between R&D and production environments.

13.7. Processing of Your Content (including personal data) through ProtoPie AI in China is for your purposes and on your behalf. You remain responsible for complying with applicable data protection requirements in relation to such content.

13.8. ProtoPie may suspend, restrict, or terminate your access to ProtoPie AI in China if: (a) required under applicable PRC law; (b) your use is subject to any pending litigation, investigation, or government proceedings; (c) Alibaba Cloud is unable to support your use; or (d) you breach any China-specific provision of these AI Terms.
